1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of Wapvio's WhatsApp CRM platform, applications, and related services (collectively, the "Services"). By using the Services, you agree to be bound by these Terms and our Privacy Policy.

If you are entering into these Terms on behalf of a company, you represent that you have the authority to bind that entity. If you do not agree, you must not use the Services.

2. Eligibility and Account Responsibilities

  • You must be at least 18 years old and legally able to enter into contracts.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  • You agree to provide accurate, current, and complete information during registration and to keep it updated.

3. Services and Permitted Use

  • Wapvio provides messaging, automation, analytics, and team collaboration tools built on the WhatsApp Business API.
  • You will use the Services only for lawful business purposes and in accordance with these Terms.
  • You are responsible for obtaining and maintaining required hardware, software, internet connectivity, and WhatsApp Business approvals.

4. WhatsApp and Messaging Compliance

  • You must comply with WhatsApp Business policies, template approval rules, and applicable anti-spam laws (including TCPA, CAN-SPAM, and GDPR where applicable).
  • You are responsible for obtaining appropriate consents from message recipients and honoring opt-out requests.
  • Wapvio may suspend or terminate access for violations of WhatsApp or carrier rules.

5. Subscription, Billing, and Taxes

  • Fees are billed per your selected plan (monthly or annually) and may include per-conversation or per-message charges imposed by WhatsApp or carriers.
  • You authorize Wapvio to charge the payment method on file; late payments may incur suspension and applicable late fees.
  • Fees are exclusive of taxes. You are responsible for all applicable taxes, duties, and government charges.

6. Acceptable Use Policy

  • No harassment, abuse, or unlawful content.
  • No sending of spam, unsolicited bulk messaging, phishing, or malware.
  • No interference with or disruption of the Services, including security testing without prior written consent.
  • Wapvio may investigate violations and remove or suspend accounts at its discretion.

7. Intellectual Property

  • Wapvio retains all rights in the Services, software, trademarks, and content.
  • You receive a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes during your subscription term.
  • Feedback you provide may be used by Wapvio without restriction.

8. Confidentiality and Data Security

Both parties agree to protect the other's confidential information and use it only as necessary to perform under these Terms. Security measures are described in the Privacy Policy and accompanying security documentation.

9. Third-Party Services

Integrations with third-party services (including WhatsApp, cloud providers, payment processors, and analytics tools) are provided "as is." Your use of those services may be subject to separate terms and privacy policies.

10. Disclaimers

The Services are provided on an "as is" and "as available" basis. Wapvio disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Wapvio is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or business opportunities. Wapvio's aggregate liability under these Terms is limited to the fees paid by you to Wapvio in the six (6) months preceding the claim.

12. Indemnification

You agree to indemnify and hold Wapvio, its affiliates, and personnel harmless from claims, losses, and expenses (including attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.

13. Suspension and Termination

  • You may terminate your subscription at any time via the billing portal; fees already paid are subject to the Refunds and Cancellations Policy.
  • Wapvio may suspend or terminate access for violations of these Terms, non-payment, or legal compliance reasons.
  • Upon termination, your right to use the Services ends, but sections that by their nature should survive (including payment obligations, IP rights, confidentiality, warranty disclaimers, limitations of liability, and indemnity) will remain in effect.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law rules. Any disputes will be resolved in the state or federal courts located in Wilmington, Delaware, and the parties consent to personal jurisdiction there.

15. Changes to These Terms

We may update these Terms to reflect changes in our Services, legal requirements, or business practices. We will notify you of material changes via email or in-app notice. Continued use after changes become effective constitutes acceptance of the updated Terms.
